Vertex Pharmaceuticals Announces Proposed Public Offering of Convertible Senior Subordinated Notes

CAMBRIDGE, Mass., Sep 22, 2010 (BUSINESS WIRE) -- Vertex Pharmaceuticals Incorporated (Nasdaq: VRTX) today announced that intends to offer, subject to market and other conditions, $375.0 million aggregate principal amount of convertible senior subordinated notes due 2015 in an underwritten public offering under an automatically effective shelf registration statement on file with the Securities and Exchange Commission. Vertex also expects to grant the underwriter an option to purchase up to $25.0 million aggregate principal amount of additional notes on the same terms and conditions.

BofA Merrill Lynch is acting as the sole underwriter in the offering.
